By accessing or using TorzFreight, you agree to these Terms. If you do not agree with these Terms, please do not use the service.

1. About TorzFreight

TorzFreight provides trucking-business tools, information, operational software, load-support features, and dispatch-related services designed primarily for owner-operators, carriers, dispatchers, brokers, shippers, and other trucking-industry users.

Features may include:

• Cost-per-mile calculations
• Load profitability analysis
• Break-even and target-rate calculations
• Load comparison tools
• Rate-negotiation assistance
• Trip planning and tracking
• Expense and fuel tracking
• Detention, TONU, layover, and accessorial tools
• Invoices and receivables tools
• Business-performance information
• Broker and motor-carrier public-data lookup tools
• Compliance-planning tools
• Trucking calculators
• Hotshot and box-truck business tools
• Startup planning tools
• Resource directories
• Load-assistance requests
• Dispatch-service inquiries

Features may be added, modified, limited, or discontinued as the service develops.

2. Business Planning Tools and Estimates

TorzFreight provides calculators, estimates, scores, comparisons, projections, and other business-planning information.

Results may depend on information you enter, assumptions used by a particular tool, available data, formulas, and other variables.

Examples include:

• Cost per mile
• Break-even rate per mile
• Target rate per mile
• Load profit
• Fuel cost
• Deadhead cost
• Trip profitability
• Startup requirements
• Cash-flow estimates
• Revenue targets
• Load scores

These results are estimates and planning tools. They are not guarantees of actual revenue, profit, expenses, fuel consumption, market rates, or business performance.

3. Your Responsibility for Business Decisions

You are responsible for evaluating whether a load, rate, trip, investment, expense, business strategy, or other decision is appropriate for your business.

TorzFreight should be used as one source of business information rather than as the sole basis for an important financial, operational, regulatory, or legal decision.

You should independently verify important information before acting on it.

4. No Guaranteed Loads, Rates, Revenue, or Profit

TorzFreight does not guarantee:

• Availability of freight
• Availability of a particular lane
• Acceptance of a requested rate
• Any minimum rate per mile
• Any minimum weekly or monthly revenue
• Any amount of profit
• Any particular number of loads
• Continuous work or freight availability
• Acceptance by a broker or shipper

Freight markets, rates, operating costs, capacity, customer demand, weather, fuel prices, regulations, equipment availability, and other conditions can change.

5. Load Opportunities and Load Assistance

TorzFreight may display approved freight opportunities submitted to or managed through Torz Freight.

A displayed opportunity does not guarantee that the load remains available, that a carrier will qualify for it, that a broker or shipper will approve the carrier, or that the displayed rate or terms will remain unchanged.

If you submit a load-help request, Torz Freight may use the information you provide to contact you and attempt to assist with suitable freight opportunities.

Submitting a request does not create a guarantee that Torz Freight will locate or secure a load.

6. Dispatch Services

Torz Freight may offer dispatch assistance to qualifying carriers and owner-operators.

Dispatch assistance may include activities such as:

• Searching for freight opportunities
• Communicating with brokers or shippers
• Assisting with rate negotiations
• Coordinating trip-related information
• Supporting documentation and administrative communication

Specific dispatch-service terms, responsibilities, fees, authorization, and obligations may be governed by a separate agreement between Torz Freight and the carrier.

Nothing on the public website replaces a separately executed service agreement where one is required.

7. No Transportation Contract Created by Website Use

Merely browsing TorzFreight, using a calculator, submitting an inquiry, viewing a load opportunity, or requesting assistance does not by itself create a transportation contract, brokerage agreement, carrier agreement, dispatch agreement, or other binding transportation relationship.

Any binding transportation or service relationship must arise through the applicable agreement, confirmation, rate confirmation, authorization, or other appropriate business documentation.

8. Freight and Load Submissions

Brokers, shippers, businesses, or other authorized parties may be able to submit freight opportunities to TorzFreight.

By submitting freight information, you represent that:

• You are authorized to submit the information
• The information is reasonably accurate
• You are not intentionally submitting fraudulent freight
• You are not impersonating another business or person
• You have the right to provide any submitted contact information

TorzFreight may review, reject, remove, edit, or decline to publish a submitted opportunity.

9. Broker and Motor Carrier Information

Certain TorzFreight tools may display public information about motor carriers, brokers, operating authorities, USDOT numbers, MC or docket numbers, business identities, fleet information, registration information, or other transportation-related records.

Information may originate from public government or regulatory sources, including U.S. Department of Transportation or FMCSA-related datasets.

Public records may be delayed, incomplete, outdated, unavailable, or changed by the original source.

You should verify important carrier, broker, authority, insurance, safety, registration, and regulatory information directly with the applicable official source before making a material business decision.

10. No Government Affiliation

TorzFreight is an independent service.

TorzFreight is not the Federal Motor Carrier Safety Administration (FMCSA), U.S. Department of Transportation (USDOT), Internal Revenue Service (IRS), or another government agency.

References to government agencies, public datasets, forms, regulations, or official resources do not imply endorsement, sponsorship, or affiliation.

11. Compliance Information

TorzFreight may provide reminders, calculators, checklists, educational information, links, or planning tools concerning trucking compliance.

Examples may involve:

• MCS-150 updates
• UCR registration
• Form 2290
• IFTA
• IRP
• Vehicle registration
• Insurance expiration
• Annual inspections
• Driver-related compliance reminders

These tools are intended for planning and organizational assistance. Users remain responsible for determining which laws, filings, registrations, deadlines, permits, taxes, insurance requirements, and other obligations apply to them.

12. No Legal, Tax, Accounting, or Professional Advice

Information provided through TorzFreight is not legal, tax, accounting, insurance, investment, or other regulated professional advice.

When professional advice is required, you should consult an appropriately qualified professional or the relevant government agency.

13. User Accounts

Certain TorzFreight features may require an account.

You are responsible for:

• Providing accurate account information
• Keeping your login credentials secure
• Protecting access to your device
• Using your account only for lawful purposes
• Promptly reporting suspected unauthorized access

You may not knowingly allow another person to misuse your account or use your account to circumvent access restrictions.

You are responsible for the accuracy, legality, and appropriateness of the information you enter.

You should maintain separate copies of records that are important for taxes, legal compliance, accounting, contracts, insurance claims, or other critical business purposes.

15. Prohibited Uses

You may not use TorzFreight to:

• Commit fraud or deception
• Submit fake freight or false business information
• Impersonate another person or company
• Access another user's private account without authorization
• Attempt to bypass security controls
• Probe, attack, or disrupt TorzFreight systems
• Introduce malware or malicious code
• Use automated methods in a manner that materially harms the service
• Harvest private user information
• Use public business data for unlawful harassment or unlawful marketing
• Violate applicable communications, privacy, transportation, or advertising laws
• Use the service for unlawful activity

16. Public Business Information and Prospecting Tools

Certain private TorzFreight business tools may help authorized users organize legitimate public business information about carriers or trucking companies.

Availability of information from a public source does not eliminate the user's responsibility to comply with applicable telephone, email, marketing, privacy, do-not-call, and other communications laws.

TorzFreight does not authorize harassment, deceptive outreach, unlawful bulk messaging, or misuse of personal information.

17. Third-Party Websites and Services

TorzFreight may link to third-party websites, government resources, trucking resources, mapping services, regulatory sources, or other external services.

TorzFreight does not control the content, availability, security, accuracy, or policies of third-party services.

Your use of a third-party website or service is subject to that provider's terms and policies.

18. Service Availability

We work to keep TorzFreight available and functioning, but continuous or error-free operation cannot be guaranteed.

Service may be interrupted because of:

• Maintenance
• Software updates
• Hosting or infrastructure problems
• Internet outages
• Third-party data-provider outages
• Security incidents
• Events outside our reasonable control

19. Changes to Features

TorzFreight may add, modify, replace, limit, suspend, or discontinue features when reasonably necessary for business, technical, security, legal, or operational reasons.

We may also change how particular tools operate as formulas, data sources, regulations, user needs, or platform capabilities change.

20. Intellectual Property

Unless otherwise stated, the TorzFreight website design, branding, software, original written content, interfaces, calculations, organization, graphics, and other original materials are owned by or licensed to TorzFreight and are protected by applicable intellectual property laws.

Government records and other third-party materials remain subject to the rights and terms applicable to their original sources.

21. Permitted Use

You may use TorzFreight for legitimate personal or business purposes related to trucking and transportation operations.

Unless we provide written permission, you may not reproduce, republish, sell, license, systematically copy, or commercially exploit substantial portions of TorzFreight's proprietary software or original content.

22. Disclaimer of Warranties

To the extent permitted by applicable law, TorzFreight and its services are provided on an "as is" and "as available" basis.

We do not warrant that every calculation, public record, estimate, directory listing, load opportunity, regulatory reference, or other piece of information will always be complete, current, error-free, or suitable for every user's circumstances.

Users should independently verify information when accuracy is important to a business, legal, financial, safety, or regulatory decision.

23. Limitation of Liability

To the extent permitted by applicable law, TorzFreight will not be responsible for indirect, incidental, special, consequential, or similar damages arising from reliance on estimates, third-party data, service interruptions, market conditions, unavailable freight, business decisions, or use of the website.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

24. Suspension or Restriction of Access

TorzFreight may restrict, suspend, or terminate access to an account or feature when reasonably necessary because of suspected fraud, abuse, unauthorized access, security risk, violation of these Terms, or unlawful activity.

25. Privacy

Your use of TorzFreight is also subject to our Privacy Policy.

Information about cookies and similar technologies is available in our Cookie Policy.

26. Changes to These Terms

We may update these Terms as TorzFreight changes, including when new tools, services, integrations, business features, or legal requirements are introduced.

When these Terms are materially updated, we may revise the effective date above and provide additional notice where appropriate.

Continued use of TorzFreight after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

28. No Waiver

Failure to enforce a provision of these Terms does not permanently waive the right to enforce that provision or another provision later.
